Introduction to the Website
Welcome to Panda Visual Art (hereinafter: "Panda").
The website serves as a platform connecting visual artists with clients interested in purchasing their works.
The art represented by Panda includes all forms of visual art, such as murals on buildings and outdoor and indoor walls, ceilings, floors, screens, and various other surfaces.
The creations are in two-dimensional and three-dimensional formats, either physical works or projections using video or audiovisual equipment. The site also allows the process of branding digital works (commercializing).
Additionally, Panda represents artists in various fields of art: photography, graphic design, graffiti, video art, sculpture, branding digital works, and similar fields.
The website targets a variety of clients, both private and institutional, displaying the works of the artists represented by Panda, along with the contact details and terms of engagement for purchasing available art, including specifications such as size and price.
Using the Website
3. The website allows clients to purchase finished works of artists represented by Panda, and the size of the creation and the artist's name will be displayed. Additional details will be provided upon direct contact with Panda.
4. The client can choose to purchase the original creation, a reproduction of it as a painting, or request the artist to replicate the creation on the client's site, all according to the artist’s permission to make a replica as per the agreement with the artist. The client has the option to browse the artworks displayed on the website and request that the artist whose works they admire create an original piece specifically for them, either as a painting on canvas or on the surface of the requested site.
5. Original works ordered specifically according to the client's request will be arranged via direct contact with Panda by phone or online, where the order details, price, and the artist chosen by the client will be determined. The terms of engagement with the client will be specific to this transaction and separate from the website, depending on the type of engagement between Panda and the artist. Terms may include ownership rights in the work, the license to use the work, and whether the display will be permanent or temporary.
It is clarified that, by default, the ownership of intellectual property rights in the works is held by the artist or Panda, as stipulated in their agreements, and the client will have a standard or exclusive license to use the work, as agreed in the specific contract between the parties, without transferring ownership rights unless explicitly stated in the signed agreement.
6. It is clarified that some of the images displayed on the site are of works that are not for sale or replication but are displayed to showcase the artist’s abilities and style, allowing the client to request the creation of an original work.
7. The website is also directed at artists who wish to engage with Panda for representation and inclusion in the roster of artists for Panda’s clients. The terms of engagement between the artist and Panda are outlined in a separate agreement with each artist.
8. In order to use the website’s services for purchasing, the user must be over 18 years of age. If the user is under this age, usage is subject to parental or guardian consent.
9. Panda considers every potential client and prefers direct communication to advise the client on how to best acquire the appropriate artwork. Therefore, clients are encouraged to contact Panda by phone after browsing the site or leave their contact details as specified on the website, and a Panda representative will contact them as soon as possible.
Website Commitment
10. Panda commits to providing a high-quality marketing platform for artworks, both in terms of execution and intellectual property rights, ensuring that the works are original and lawfully created by the artists it represents.
11. Panda commits that every artwork sold by it or executed through the website for the client will be sold legally and according to the artist’s agreements and authorizations.
Client usage rights may be unrestricted for any use or limited to a particular location and/or time, including rights to public display, etc. These usage rights are associated with the artwork and will remain even if the artwork is transferred or sold later.
Client Commitment
12. The client commits to using the website in accordance with intellectual property restrictions, primarily copyright. Therefore, no use of website content, in whole or part, including the displayed images, is allowed for commercial or personal purposes beyond the viewing of the site for engagement with Panda.
It is clarified that copying website content, in whole or part, or transferring it to any other party, is prohibited without explicit permission from Panda.
13. The client is also obligated to act with any artwork they purchase or commission strictly according to the terms and permissions granted by Panda and/or the artist.
Purchasing Works
14. For artworks displayed on the site for sale, payment will be made via a secure website payment, bank transfer, or in-person at the location where the artwork is sold, as agreed with the client.
For commissioned works, payment terms will be as outlined in a specific agreement for that sale.
15. Panda reserves the right to change the price of artworks displayed on the site and modify payment methods and conditions at any time.
16. The cancellation and return policy follows the Consumer Protection Regulations (Cancellation of Transaction) 2010 and the Consumer Protection Law 1981.
17. Cancellation of a commissioned work will be in accordance with the laws mentioned above and the specific agreement at the time of purchase, depending on the progress of the artist’s work at the selected site.
18. Panda is not obligated to provide the work or artist services if the client fails to meet the agreement’s conditions, such as the agreed payment and preparation of proper conditions for the artist’s work at the client’s location.
19. Panda does not guarantee that the artist’s execution on-site will exactly match the image the client selected from Panda’s website, and there may be minor differences in hues or details of the painting itself. These changes will not be grounds for cancellation of the transaction.
20. For works ordered directly from the website, Panda commits to delivering the artwork free of delivery charges and within 30 days from the payment date to the client’s chosen location.
For commissioned works, delivery will be within 30 days from the payment date to the location chosen by the client.
For deliveries beyond 30 km from Tel Aviv, delivery charges will apply, and the client is obligated to pay this additional cost.
The client also has the option to pick up the artwork directly from Panda by prior arrangement.
Information Security and Privacy
21. Panda commits not to disclose any personal client information and will not use it for marketing purposes without consent. The information provided by the client will only be used for the specific purchase transaction. Panda will also not store any credit card details used in the transaction.
Terms of Use
22. All actions on the website are subject to the terms of use outlined here and the agreements between Panda and the client, as well as between Panda and the artists it represents.
23. Every client and/or user who performs any action on the website confirms that they have read and accept these terms of use without reservation.
24. Panda reserves the right to modify the terms of use from time to time.
25. All content on the site, including written text and images, is protected by law and copying it, in whole or part, for any purpose, is prohibited unless agreed in advance between Panda, the artists, and the clients.
26. All content on the website is the exclusive property of Panda and/or licensed by the rights holders. Therefore, copying, distributing, broadcasting, publishing, linking, or making any other changes to the website or its contents without Panda’s explicit written consent is strictly prohibited!
27. Violating these terms may result in legal action, including civil lawsuits and/or criminal proceedings.
28. Unauthorized copying constitutes a legal violation, granting the rights holders the ability to obtain injunctions and substantial financial compensation from violators.
